Terms & conditions
The terms under which services are quoted, delivered and supported.
Scope of work
Every engagement is governed by a written scope specifying deliverables, timeline, cost and assumptions. Work outside that scope requires a written variation agreed by both parties before it begins.
Fees and payment
Fixed-scope projects are invoiced 50% on commencement and 50% on delivery unless agreed otherwise. Retainers are invoiced monthly in advance. Invoices are payable within fourteen days of issue.
Client responsibilities
Timely access to systems, credentials, stakeholders and information is required for delivery. Delays caused by access not being provided may extend the timeline and, where material, affect cost.
Intellectual property
On full payment, ownership of custom code, configuration and documentation produced specifically for the engagement transfers to the client. Pre-existing tools, libraries and generic frameworks remain the property of their respective owners.
Warranty and support
Delivered work is warranted against defects for thirty days from handover, and defects reported in that period are corrected at no cost. Changes in requirements are not defects.
Third-party platforms
Services depending on third-party platforms are subject to those platforms' availability, pricing and terms. Changes a vendor makes to its own API or pricing are outside the control of this engagement.
Limitation of liability
Liability is limited to the fees paid for the engagement in question. Neither party is liable for indirect or consequential loss.
Confidentiality and termination
Both parties keep the other's confidential information private. Either party may terminate a retainer with thirty days' written notice. Fixed-scope projects may be terminated with payment for work completed to that point.
